Welcome to Urban Worm Movement!

The terms “we,” “us,” “our,” and “Urban Worm Movement” refer to Urban Worm Movement LLC. Urban Worm Movement LLC operates this website and online store, including all related information, content, features, tools, products, and services made available through the website (collectively, the “Services”).

Our store is powered by Shopify, which provides the e-commerce platform that enables us to offer products and Services to you.

We offer products that may be fulfilled directly by Urban Worm Movement as well as products supplied and fulfilled by independent third-party suppliers, including suppliers participating through Shopify Collective (“Partner-Fulfilled Products”).

These Terms of Service (“Terms”), together with our Privacy Policy, Refund Policy, Shipping Policy, and any other policies or terms referenced herein, describe your rights and responsibilities when you access or use our Services or purchase products from us.

Please read these Terms carefully. They contain important information concerning your legal rights, including warranty disclaimers, limitations of liability, shipping and fulfillment provisions, and other terms that may affect you.

By visiting, browsing, interacting with, purchasing from, or otherwise using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms or our Privacy Policy, you should not access or use the Services.

SECTION 1 — ACCESS AND ACCOUNT

By agreeing to these Terms, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence, or that you are the age of majority and have given consent for any minor dependents under your supervision to use the Services.

To access certain features of the Services or make a purchase, you may be asked to provide information including your name, email address, billing address, shipping address, telephone number, and payment information.

You represent and warrant that all information you provide is accurate, current, and complete and that you have the right to provide such information.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity conducted through your account.

You may not transfer, sell, assign, or license your account to another person.

We reserve the right to refuse service, terminate accounts, remove or edit content, cancel orders, or restrict access to the Services when reasonably necessary to protect Urban Worm Movement, our customers, suppliers, Shopify, or other parties, subject to applicable law.

SECTION 2 — OUR PRODUCTS

We make reasonable efforts to accurately display and describe the products offered through our store.

However, colors, dimensions, appearance, packaging, labels, and other product characteristics may differ from their appearance on your screen or from photographs displayed online due to device settings, manufacturer changes, supplier changes, packaging updates, or other circumstances.

We do not guarantee that the appearance, color, packaging, or other characteristics of a product will exactly match photographs or other representations displayed through the Services.

Product descriptions, specifications, prices, availability, ingredients, materials, measurements, application information, photographs, instructions, warnings, and other information may be supplied by manufacturers, distributors, or Partner Suppliers.

We make reasonable efforts to present this information accurately but cannot guarantee that all supplier-provided information will always be complete, current, or error-free.

Product descriptions and availability may change at any time without notice.

We reserve the right to discontinue products or limit quantities offered to any person, household, geographic area, or jurisdiction where permitted by law.

Partner-Fulfilled Products

Urban Worm Movement offers products from both our own inventory and independent third-party suppliers, including suppliers participating through Shopify Collective (“Partner Suppliers”).

Products shipped directly by a Partner Supplier are referred to as “Partner-Fulfilled Products.”

Although a Partner Supplier may warehouse, package, process, or ship a Partner-Fulfilled Product, purchases made through the Urban Worm Movement store are made with Urban Worm Movement LLC unless expressly stated otherwise.

Partner Suppliers may control or provide information concerning inventory availability, fulfillment location, processing time, shipping origin, carrier selection, tracking information, and other fulfillment-related matters.

Partner-Fulfilled Products may arrive separately from other products in the same order and may be subject to product-specific fulfillment, shipping, return, or live-arrival requirements disclosed on the product page or otherwise communicated in connection with the order.

Inventory and Availability

Inventory for Partner-Fulfilled Products may be maintained by the applicable Partner Supplier and electronically synchronized with our store.

Although inventory information may be updated electronically, availability can change before or after an order is submitted.

In rare circumstances, a product shown as available may become unavailable after you place your order.

If an ordered product becomes unavailable, we may:

  • cancel the affected item;

  • contact you regarding available options;

  • issue a refund for the unavailable item; or

  • take another action permitted by applicable law and our policies.

We do not guarantee continuous availability of any product.

SECTION 3 — ORDERS

When you submit an order, you are making an offer to purchase the selected products.

Urban Worm Movement reserves the right to accept, reject, limit, or cancel an order where permitted by law, including because of suspected fraud, pricing or inventory errors, supplier availability, shipping restrictions, payment issues, product limitations, or other legitimate business reasons.

An automated order confirmation does not necessarily constitute final acceptance of an order.

Payment must be authorized or otherwise processed before an order can be completed.

Please review your order carefully before submitting it.

Partner-Fulfilled Orders

Orders containing Partner-Fulfilled Products may be electronically transmitted to the applicable Partner Supplier for processing shortly after the order is received.

Partner Suppliers may begin preparing an order before Urban Worm Movement receives or processes a cancellation request.

Accordingly, cancellation requests are not guaranteed.

If a Partner-Fulfilled Product has already been processed or fulfilled, cancellation may no longer be possible. If cancellation is unavailable, the applicable return process may instead apply.

For unfulfilled Shopify Collective orders, Urban Worm Movement may be required to submit or transmit a cancellation request to the supplier. Supplier processing may affect whether that cancellation can be completed.

If we cancel an order or item after payment has been collected, we will issue any refund required by applicable law and our policies.

Order Limitations

We reserve the right to limit or prohibit orders that reasonably appear to be placed by dealers, resellers, distributors, or other unauthorized commercial purchasers.

Unless we expressly agree otherwise, products purchased through our retail store are intended for personal, household, gardening, farming, educational, or other lawful end use and not for unauthorized commercial resale or export.

Your purchases are also subject to our Refund Policy.

SECTION 4 — PRICES, PAYMENT, AND BILLING

Prices, promotions, discounts, shipping charges, and product availability may change without notice.

The price charged for a product will generally be the price displayed when the order is submitted, subject to correction of errors as permitted by law.

Unless otherwise stated, posted prices do not include applicable taxes, shipping charges, handling charges, customs duties, import charges, or other charges that may apply.

Prices offered through Urban Worm Movement may differ from prices offered by manufacturers, Partner Suppliers, other retailers, physical stores, marketplaces, or other websites.

Promotions may be subject to separate terms and restrictions. If specific promotional terms conflict with these Terms regarding the promotion itself, the promotional terms will govern to the extent of the conflict.

You agree to provide accurate and complete billing and payment information and to promptly update information necessary to complete your transaction.

You represent and warrant that:

  1. payment information you provide is accurate;

  2. you are authorized to use the payment method provided;

  3. charges incurred by you will be honored by your payment provider; and

  4. you will pay all applicable charges associated with your purchase.

We reserve the right to correct pricing errors and, where permitted by law, cancel orders affected by material pricing mistakes.

SECTION 5 - ORDER CANCELLATIONS

Cancellation requests should be submitted as soon as possible and no later than 5:00 p.m. Central Time on the date the order is placed.

Submitting a cancellation request does not guarantee that an order can be canceled. Orders may begin processing shortly after purchase, and Partner-Fulfilled Products may be electronically transmitted to the applicable Partner Supplier shortly after an order is placed.

Once an order has entered processing, fulfillment, or shipment, cancellation may no longer be possible.

Additional cancellation terms, including any applicable cancellation fee, are provided in our Refund, Return, and Cancellation Policy.

SECTION 6 — SHIPPING, FULFILLMENT, AND DELIVERY

Urban Worm Movement offers products that may ship from different fulfillment locations.

Some products are packed and shipped directly by Urban Worm Movement, while Partner-Fulfilled Products may be packed and shipped directly by independent Partner Suppliers.

Multiple Shipments

An order containing multiple products may be fulfilled from more than one location.

As a result, a single order may:

  • arrive in multiple packages;

  • arrive on different days;

  • be shipped by different carriers;

  • originate from different locations; and

  • have more than one tracking number.

Receiving one package does not necessarily mean your entire order has been delivered.

Shipping and Processing Estimates

Processing, shipping, transit, and delivery dates displayed on our website, product pages, checkout, order confirmations, or other communications are estimates unless expressly identified as guaranteed.

For Partner-Fulfilled Products, shipping rates, processing estimates, carrier information, or transit estimates may be supplied by the Partner Supplier or transmitted through Shopify Collective.

Actual delivery times may be affected by circumstances including:

  • carrier delays;

  • severe weather;

  • extreme temperatures;

  • natural disasters;

  • holidays;

  • labor disruptions;

  • customs or import processing;

  • incorrect or incomplete shipping information;

  • high order volume;

  • supplier processing times;

  • product availability;

  • carrier service interruptions; and

  • other circumstances beyond our reasonable control.

Nothing in these Terms eliminates any shipping, cancellation, notification, or refund rights that you may have under applicable law.

If we become unable to ship an order within a legally required or promised timeframe, we will provide any notice, cancellation option, consent request, refund, or other remedy required by applicable law.

Shipping Address

You are responsible for providing a complete and accurate shipping address.

We are not responsible for delays or delivery problems caused by incorrect or incomplete information provided by the customer, except to the extent otherwise required by law.

If an order is returned because of an incorrect address, refusal, failed delivery, or similar issue, additional shipping costs may apply before the order can be reshipped.

Tracking

Tracking information may be provided when available.

For Partner-Fulfilled Products, tracking information may be generated or transmitted by the Partner Supplier and synchronized with our store.

Carrier tracking updates are controlled by the applicable carrier and may occasionally be delayed or inaccurate.

Live, Perishable, or Temperature-Sensitive Products

Certain products, including live organisms or temperature-sensitive products, may require special shipping procedures.

Shipping may be delayed, modified, or temporarily suspended when weather or other environmental conditions could reasonably jeopardize the condition or viability of the product.

Any product-specific live-arrival, replacement, reporting, photograph, delivery, or other requirements stated in the product description, Shipping Policy, Refund Policy, or applicable guarantee form part of the terms applicable to that purchase.

SECTION 7 — RETURNS, REFUNDS, AND PARTNER-FULFILLED RETURNS

All returns, exchanges, refunds, damaged-product claims, and related requests are subject to our Refund Policy, together with any product-specific conditions disclosed before purchase.

Partner-Fulfilled Product Returns

Returns involving Partner-Fulfilled Products must be initiated through Urban Worm Movement unless we expressly instruct you otherwise.

Do not send a Partner-Fulfilled Product to Urban Worm Movement or directly to a supplier without first receiving return instructions.

The appropriate return destination may differ depending on the product or supplier.

Partner Supplier arrangements may affect:

  • the designated return address;

  • return-label availability;

  • return shipping charges;

  • processing procedures;

  • inspection requirements;

  • restocking charges where lawful and disclosed;

  • non-returnable product categories; and

  • other return logistics.

However, those arrangements do not eliminate rights you have under applicable consumer law.

Urban Worm Movement will communicate applicable return instructions to you.

A Partner Supplier's internal policies govern aspects of the commercial relationship between Urban Worm Movement and that supplier but do not automatically create a separate sales contract between you and the Partner Supplier.

Refunds to customers are issued by or through Urban Worm Movement using the process applicable to the original transaction, except where another method is required or authorized by law.

Product-specific exclusions, including exclusions applicable to live, perishable, custom, hazardous, sanitary, clearance, final-sale, or other designated products, may apply as described in our Refund Policy or on the applicable product page.

SECTION 8 — PRODUCT SAFETY AND USE

Customers are responsible for reading and following all product labels, manufacturer instructions, warnings, application directions, storage requirements, and safety information.

Keep products out of reach of children unless the product is specifically intended for supervised use.

Products intended for animal feeding should be used only for the animals, species, and purposes identified by the manufacturer or applicable product instructions.

Garden products, fertilizers, soil amendments, biological controls, growing media, pest-management products, and similar products should be used only as directed.

Do not use any product for a purpose inconsistent with its labeling, instructions, or intended use.

Manufacturer Directions

Customers are responsible for reading and following all manufacturer-provided:

  • directions;

  • warnings;

  • application rates;

  • protective-equipment recommendations;

  • storage instructions;

  • environmental precautions;

  • disposal instructions; and

  • other safety information.

Where a manufacturer's legally required label or instruction conflicts with general information on our website, follow the product label and applicable law.

Information made available through Urban Worm Movement concerning gardening, composting, vermiculture, soil, plants, hydroponics, fertilizers, or similar subjects is provided for general educational purposes and is not a substitute for product labeling, professional advice, or legally required instructions.

SECTION 9 — INTELLECTUAL PROPERTY

The Services, including trademarks, business names, logos, text, website design, graphics, photographs, videos, audio, compilations, product reviews, and other content, may be owned by Urban Worm Movement LLC, its affiliates, licensors, Partner Suppliers, manufacturers, Shopify, or other third parties and may be protected by United States and international intellectual-property laws.

These Terms permit you to use the Services for your lawful personal and non-commercial use.

Except as expressly permitted by law or with prior written authorization, you may not reproduce, distribute, modify, republish, publicly display, publicly perform, download, transmit, create derivative works from, scrape, commercially exploit, or otherwise misuse protected content made available through the Services.

Nothing in these Terms grants you a license to use any trademark, copyright, patent, trade dress, business name, logo, or other intellectual property belonging to Urban Worm Movement, Shopify, a Partner Supplier, manufacturer, or another party except as expressly permitted.

Urban Worm Movement LLC names, logos, designs, and slogans are trademarks or other intellectual property of Urban Worm Movement LLC or its licensors.

Shopify's names, logos, product names, and related marks belong to Shopify or its affiliates.

Product photographs, trademarks, descriptions, logos, and other content supplied by Partner Suppliers or manufacturers remain subject to the rights of their respective owners.

SECTION 10 — OPTIONAL AND THIRD-PARTY TOOLS

We may provide access to tools, applications, integrations, or other functionality offered by third parties.

We may not monitor or control every third-party tool.

Except as otherwise expressly stated, third-party tools are provided on an “as is” and “as available” basis, subject to applicable law and the terms of the third-party provider.

Your use of optional third-party tools may also be subject to separate terms and privacy policies.

We may add, modify, or discontinue tools, resources, integrations, or features from time to time.

Any new features or Services offered through our website will also be subject to these Terms unless otherwise stated.

SECTION 11 — THIRD-PARTY LINKS AND EXTERNAL SERVICES

The Services may contain links to websites, resources, applications, or content operated by independent third parties.

We do not control and are not responsible for the accuracy, availability, security, practices, or content of third-party websites that you choose to access.

Accessing an external website is subject to that website's own terms and privacy practices.

This Section applies to external third-party websites and services.

It does not mean that customers purchasing Partner-Fulfilled Products through Urban Worm Movement must independently pursue Partner Suppliers for ordinary order, return, or refund requests.

Questions concerning an order placed through Urban Worm Movement should be directed to Urban Worm Movement unless we specifically instruct you otherwise.

SECTION 12 — PARTNER SUPPLIERS AND SHOPIFY COLLECTIVE

Urban Worm Movement may establish relationships with independent suppliers through Shopify Collective or other supplier and fulfillment programs.

Shopify Collective facilitates certain product, inventory, order, shipping, payment, fulfillment, tracking, return, and related information between connected Shopify merchants.

A Partner Supplier may fulfill a product purchased through Urban Worm Movement, but the customer's purchase through our store remains a transaction with Urban Worm Movement unless expressly disclosed otherwise.

Partner Suppliers are independent businesses and are not employees, agents, subsidiaries, or controlled entities of Urban Worm Movement solely because they supply or fulfill products for our store.

Similarly, Urban Worm Movement is not an employee, subsidiary, or controlled entity of a Partner Supplier merely because we sell that supplier's products.

Partner Supplier relationships may change from time to time.

If our relationship with a Partner Supplier ends, certain products may become unavailable, inventory may be reduced to zero, or pending orders may require cancellation, refund, alternative fulfillment, or other appropriate action.

We reserve the right to add, replace, or discontinue Partner Suppliers and Partner-Fulfilled Products at any time, subject to our obligations regarding existing customer orders and applicable law.

SECTION 13 — RELATIONSHIP WITH SHOPIFY

Urban Worm Movement LLC is powered by Shopify, which enables us to provide the Services to you.

However, sales and purchases made through the Urban Worm Movement store are made directly with Urban Worm Movement LLC unless expressly stated otherwise.

Shopify is not the seller of products purchased from Urban Worm Movement merely because our website is hosted on Shopify or because a supplier relationship is facilitated through Shopify Collective.

To the fullest extent permitted by applicable law, you acknowledge that Shopify is not responsible for Urban Worm Movement's sale of products to you, including injuries, damages, losses, or disputes arising from products purchased from Urban Worm Movement.

Nothing in this section limits rights that cannot legally be waived.

SECTION 14 — PRIVACY

Personal information collected through the Services is handled in accordance with our Privacy Policy.

Because our Services are hosted by Shopify, Shopify may collect and process personal information relating to your access to and use of the Services in order to provide its platform and related services.

Information required to process or fulfill an order may also be shared with service providers and Partner Suppliers where reasonably necessary for purposes such as:

  • processing your order;

  • fulfilling products;

  • creating shipping labels;

  • delivering packages;

  • providing tracking;

  • handling returns;

  • preventing fraud;

  • processing payments; and

  • providing customer service.

Partner Suppliers may receive information reasonably necessary to fulfill their portion of an order, such as the customer's name, shipping address, ordered products, and related fulfillment information.

Our Privacy Policy provides additional information about how personal information is collected, used, shared, and protected.

Your information may also be processed by Shopify and other service providers in jurisdictions outside your state or country of residence as permitted by applicable law.

SECTION 15 — FEEDBACK, REVIEWS, AND USER CONTENT

If you submit, post, upload, email, transmit, or otherwise provide ideas, suggestions, photographs, reviews, comments, proposals, plans, testimonials, or other content (“Feedback”), you grant Urban Worm Movement a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, display, distribute, and otherwise use that Feedback for lawful business purposes, including operating, improving, and promoting the Services, subject to applicable law.

You represent and warrant that:

  1. you own or possess the rights necessary to provide the Feedback;

  2. your Feedback does not violate another person's intellectual-property, privacy, publicity, contractual, or other rights;

  3. your Feedback is not knowingly false or misleading;

  4. you will disclose compensation or incentives associated with a review where required by law; and

  5. your Feedback will comply with these Terms and applicable law.

We may, but are not obligated to, monitor, edit, reject, or remove Feedback that we reasonably determine violates these Terms or applicable law.

You may not knowingly submit false reviews, impersonate another person, misrepresent the origin of Feedback, transmit malware, or otherwise use Feedback systems unlawfully.

You remain responsible for Feedback you submit.

SECTION 16 — ERRORS, INACCURACIES, AND OMISSIONS

Information displayed through the Services may occasionally contain typographical errors, inaccuracies, or omissions involving matters such as:

  • product descriptions;

  • photographs;

  • specifications;

  • dimensions;

  • ingredients or materials;

  • inventory;

  • availability;

  • prices;

  • promotions;

  • shipping charges;

  • shipping times;

  • transit estimates;

  • supplier information; and

  • other product or order information.

Some information relating to Partner-Fulfilled Products may originate from or be synchronized with Partner Suppliers.

We reserve the right to correct errors, update information, modify listings, or cancel affected orders where permitted by law.

If an order is canceled after you have been charged, we will issue any refund required by applicable law and our policies.

SECTION 17 — PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services, directly or indirectly:

  1. for an unlawful, fraudulent, abusive, or malicious purpose;

  2. to violate international, federal, state, provincial, or local laws or regulations;

  3. to infringe or violate intellectual-property or proprietary rights;

  4. to harass, threaten, abuse, defame, intimidate, or unlawfully discriminate against another person;

  5. to transmit knowingly false, deceptive, or misleading information;

  6. to transmit malware, malicious code, or harmful technology;

  7. to send unauthorized spam, phishing messages, chain letters, or similar solicitations;

  8. to impersonate another person or organization;

  9. to collect or track personal information unlawfully;

  10. to scrape, crawl, spider, harvest, or extract information in violation of applicable law or these Terms;

  11. to interfere with, disable, bypass, or circumvent security or technical features of the Services;

  12. to reproduce, copy, resell, or exploit the Services in an unauthorized manner; or

  13. to engage in conduct that materially interferes with another person's use of the Services or exposes Urban Worm Movement, Shopify, Partner Suppliers, customers, or others to unlawful harm or liability.

We reserve the right to suspend or terminate access to the Services for violations of these Terms, subject to applicable law.

SECTION 18 — DISCLAIMER OF WARRANTIES

Information presented through the Services, including educational information, gardening information, composting information, product information, and other general content, is provided for general informational purposes.

Although we make reasonable efforts to provide useful and accurate information, we do not warrant that all general informational content will be complete, accurate, current, or suitable for every individual circumstance.

Your reliance on general informational materials is at your own risk.

EXCEPT TO THE EXTENT EXPRESSLY PROVIDED BY URBAN WORM MOVEMENT OR REQUIRED BY APPLICABLE LAW, THE SERVICES AND PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, URBAN WORM MOVEMENT DISCLAIMS EXPRESS OR IMPLIED WARRANTIES NOT EXPRESSLY PROVIDED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE.

WE DO NOT WARRANT THE PERFORMANCE OF INDEPENDENT SHIPPING CARRIERS OR THAT DELIVERY ESTIMATES WILL ALWAYS BE MET.

WITH RESPECT TO PARTNER-FULFILLED PRODUCTS, WE DO NOT CONTROL EVERY ASPECT OF A PARTNER SUPPLIER'S WAREHOUSE OPERATIONS, PACKAGING, INVENTORY SYSTEMS, OR CARRIER PERFORMANCE.

However, nothing in these Terms disclaims or limits an express warranty that we specifically provide or any warranty or consumer right that cannot legally be excluded.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions above apply only to the maximum extent permitted by law.

SECTION 19 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, URBAN WORM MOVEMENT LLC AND ITS MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST DATA, OR SIMILAR DAMAGES, WHERE SUCH DAMAGES MAY LAWFULLY BE EXCLUDED.

This limitation applies regardless of whether a claim is based on contract, tort, negligence, strict liability, statute, or another legal theory, to the extent permitted by law.

To the extent permitted by applicable law, Urban Worm Movement is not responsible for losses caused solely by the independent acts or omissions of carriers, external websites, or other third parties outside our reasonable control.

However, the use of a Partner Supplier to fulfill an order does not eliminate obligations Urban Worm Movement owes to its customers under applicable law.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability that applicable law prohibits a business from disclaiming.

Some jurisdictions do not allow limitations or exclusions of certain damages. In those jurisdictions, these limitations apply only to the fullest extent allowed by law.

SECTION 20 — INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Urban Worm Movement LLC and its affiliates, officers, directors, employees, agents, contractors, licensors, service providers, and partners from third-party claims, liabilities, damages, losses, and reasonable attorneys' fees arising from:

  1. your material breach of these Terms;

  2. your unlawful use of the Services;

  3. your violation of applicable law;

  4. your infringement of another person's rights; or

  5. content or Feedback that you submit in violation of these Terms.
